CONSTITUTION OF THE ADJUTANT GENERAL’S CORPS RUGBY FOOTBALL CLUB

 1. Adoption of the Constitution.  The Adjutant General’s Corps Rugby Club and its property will be administered andmanaged in accordance with the provisions of this Constitution and Army General and Administrative Instruction Volume 1 Chapter 5.

 2. The Name.  The official name of the Club shall be the Adjutant General’s Corps Rugby Football Club (herein after called AGC Rugby or the Club). AGC Rugby shall be affiliated to both the Rugby Football Union and the Army Rugby Union.

 3. The Object and Aims.  The Object of AGC Rugby is: “The promotion of the efficiency of the armed forces of the Crown by the provision and support of rugby activities for serving and veteran members of the Adjutant General’s Corps.” In order to achieve the Object the Club will aim to:

  1.  Provide coaching and competitive opportunities in all forms of the sport of Rugby Football.
  2.  Provide social events for its members both serving and veteran.
  3.  Promote the sport of Rugby Football within the armed forces community irrespective of gender, race, sexual orientation, or ability.
  4.  Provide club services in a way that is fair to all members.
  5.  Ensure that all members receive fair and equal treatment.

 4. Club Colours.  The club colours shall be red and blue.

 5. Constitution of the Committee and Officers.  The affairs of the Club shall be administered by the Committee (herein after called “The Committee”). The Committee shall consist of the following appointments:

The President. The President of the club is an ex officio appointment and the position is held by the Corps Colonel of the Adjutant Generals Corps.

The Chairperson. The Chair is the senior elected member of the committee and shall be the voting member at any constituent body general meeting. The Chair shall also be responsible for recruitment to the committee and succession planning.

  1. The Secretary. The Secretary shall be responsible for all formal correspondence between the Club, the players, the military chain of command and the constituent body.
  2. The Director of Rugby. The Director of Rugby shall be responsible for the development and management of players and coaches at the club and the performance of the club on the field of play.
  3. The Treasurer. The treasurer is an ex-officio appointment and the position is held by the Financial Manager of the Adjutant General’s Corps Regimental Institute. The treasurer does not attend committee meetings and their report is presented by The Secretary. 
  4. The Discipline Officer. The Discipline Officer shall be responsible for all match official liaison and representing the club at all official disciplinary hearings.
  5. The Men’s Team Manager. The Men’s Team Manager shall be responsible for the administration, support and welfare of the male team players.
  6. The Women’s Team Manager. The Women’s Team Manager shall be responsible for the administration, support and welfare of the female team players.
  7. The Facilities Manager. The Facilities Manager shall be responsible for liaison with the club’s playing facility managers and club property, kit and equipment.
  8. The Army v Navy Event Manager. The Army v Navy Event Manager shall run an annual Corps reunion based around the Army v Navy inter-service fixture and be responsible for all ticketing and accounting for the event through the club’s trading subsidiary.
  9. The Coaches. The Coaches shall support and advise the committee on the delivery of all match day preparation and training. The coaches shall be full committee members and their number shall not be limited.

 6. Role of the Committee.  The Committee must manage the business of the Club and they have the following powers in order to further the Object (but not for any other purpose):

  1. To raise funds. In doing so, they must not undertake any substantial permanent trading activity (unless it is primary purpose trading) and must comply with any relevant statutory regulations.
  2. To buy, take on lease or in exchange, hire or otherwise acquire any property and to maintain and equip it for the use of the Club.
  3. To sell, lease or otherwise dispose of all or any part of the property belonging to the Club. In exercising this power, the committee must comply as appropriate with any directions from CHQ as the Club’s overarching charitable trust.
  4. To co-operate with the Army Rugby Union and Corps Headquarters and exchange information and advice with them.
  5. To obtain and pay for such goods and services as are necessary for carrying out the work of the Club and to open and operate such bank and other accounts as the Club considers necessary in order to delegate the management of funds.

7. Annual General Meeting.  There shall be an Annual General Meeting of the Club before 01 September of each year of which the Secretary shall give at least 14 days notice to the members. The quorum for attendance shall be not less than 10 Full Members and 3 Committee Members.

8. Finance.  The club is primarily financed by The Adjutant General’s Corps Institution: a charitable trust registered with the Charity Commission of England and Wales under Registered Charity number 1119605. The club may request grants from other charitable trusts which support service sport such as the Army Sports Lottery. The club may also generate funds through its trading subsidiary. A statement of all income (generated income and grants) and expenditure is to be made annually to both the Army Rugby Union and CHQ AGC funds. The Club’s financial year shall be from 01 Jan to 31 Dec in line with the financial reporting requirements of the AGC Institute.

9. Trading Subsidiary.  The Club may carry out primary purpose trading in pursuit of the object. An account of all primary purpose trading income and expenditure is to be presented to The Treasurer annually and included on annual financial returns to the Army Rugby Union and CHQ AGC. No more than £5000 per annum is to be raised through primary trading.

10. Not for Profit Status.  The Club is to be operated under the Adjutant Generals Corps Institution: a charity registered with the Charity Commission of England and Wales as Charity Number 1119605.

11. Membership.  Full Membership shall be granted to all military members selected to represent the Corps in an Arm,y Sports Control Board approved fixture. Membership shall be reviewed in September annually. There shall be no charge for Full Membership of the club. All membership shall be recorded on the RFU’s Game Management System (GMS).

Honorary Membership may be granted to any military or military veteran who wishes to purchase a ticket for the annual Army v Navy reunion fixture. Honorary members may not vote at the AGM. There may be a charge for Honorary Members to cover the administrative costs of the Army v Navy Event. 

12. Amendments. Any provision contained in this constitution may be amended by an Annual General Meeting of the Club. A copy of any resolution to amend a provision of this constitution must be forwarded to the Army Rugby Union and Corps Headquarters AGC within 21 days of it being passed.

13. Dissolution.  On dissolution all assets are to be transferred to Corps Headquarters AGC for disposal through a “cy pres” scheme.
